5. Third-Party Integrations
The Software may integrate with third-party platforms, including QuickBooks Online and other accounting, commerce, licensing, and business-management systems.
These integrations may require the Licensee to authorize access to third-party accounts.
Third-party services are governed by their respective agreements, privacy policies, and service conditions.
XTC Mobile does not control the availability, functionality, pricing, or policies of third-party services.
Changes to third-party APIs or services may affect the availability or functionality of integrations.
6. QuickBooks Online Integration
6.1 Authorization
Where the Software integrates with QuickBooks Online, the Licensee must explicitly authorize the connection using the authentication procedures provided by Intuit.
The Software may request access to accounting information necessary to perform authorized functions.

-
Product identifiers and descriptions
-
Pricing information
-
Customer and supplier records

Access to particular information depends on the integration's implementation, the permissions granted, and the functions used.
6.3 Use of Accounting Information
Accounting information obtained through an authorized integration will be used to provide the Software's accounting, financial-management, reporting, reconciliation, or synchronization functionality.
XTC Mobile will not use accounting information obtained through QuickBooks Online for unrelated advertising or marketing purposes without an appropriate lawful basis and authorization.
6.4 Changes to Accounting Records
Where the Software supports modification or synchronization of accounting records, such operations must be performed within the scope of the Licensee's authorization and applicable permissions.
The Licensee remains responsible for reviewing the accuracy and appropriateness of financial records and transactions.
6.5 Disconnection
The Licensee may revoke the Software's access to QuickBooks Online through available Intuit account or application-management controls.
Following disconnection, the Software will no longer be authorized to obtain new information through that connection.
Information previously obtained may remain subject to applicable retention obligations, backup practices, and the Company's Privacy Policy.
7. Data Ownership
The Licensee retains ownership of its business and accounting information.
XTC Mobile does not acquire ownership of customer accounting records merely because those records are processed through the Software.
The Licensee grants XTC Mobile the limited rights necessary to process authorized information for providing the Software and related services.
8. Data Security
XTC Mobile will take reasonable measures appropriate to the Software and its operating environment to protect information processed through its services.
Such measures may include authentication, access restrictions, secure communication protocols, credential protection, and operational safeguards.
No software or networked service can guarantee absolute security.
The Licensee is responsible for protecting its accounts, devices, credentials, and access permissions.
9. Data Accuracy and Financial Responsibility
The Software may process, synchronize, calculate, display, or report financial information.
Although the Software is intended to support accurate business operations, XTC Mobile does not guarantee that all calculations, imported records, third-party information, or synchronized data will be free from errors.
The Licensee is responsible for:
-
Reviewing accounting information
-
Maintaining appropriate backups

Confirming financial transactions

This Agreement does not grant ownership of XTC Mobile trademarks, SageTea technology, XFoneOS technology, or other protected materials.
Open-source components, where included, remain subject to their applicable licenses.
11. Updates and Modifications
XTC Mobile may release updates, corrections, enhancements, or new versions of the Software.
Updates may modify functionality, compatibility, or system requirements.
Where practical, material changes affecting customer operations will be communicated through appropriate channels.
12. Availability
Software functionality may depend on internet connectivity, third-party services, operating systems, hosting infrastructure, and other technical dependencies.
XTC Mobile does not guarantee uninterrupted availability unless expressly provided under a separate service-level agreement.
13. Warranty Disclaimer
To the maximum extent permitted by applicable law, and except for warranties expressly provided in a separate written agreement, the Software is provided on an "as is" and "as available" basis.
XTC Mobile disclaims implied warranties to the extent legally permitted, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Nothing in this Agreement excludes warranties or statutory rights that cannot legally be excluded.
14. Limitation of Liability
To the maximum extent permitted by applicable law, XTC Mobile will not be liable for indirect, incidental, special, consequential, or punitive damages arising from the use of or inability to use the Software.
Such damages may include lost profits, business interruption, or loss of business opportunities.
To the extent permitted by law, XTC Mobile's aggregate liability under this Agreement will not exceed the amounts paid by the Licensee for the affected Software during the twelve months preceding the event giving rise to the claim.
This limitation does not apply where prohibited by law or where liability cannot legally be limited.
15. Termination
The Licensee may discontinue use of the Software at any time, subject to applicable contractual obligations.
XTC Mobile may suspend or terminate access where the Licensee materially violates this Agreement, engages in unlawful activity, or creates a significant security risk.
Upon termination, the Licensee must discontinue unauthorized use of the Software.
Termination does not automatically eliminate lawful data-retention obligations or rights that survive termination.
16. Privacy
Personal information processed in connection with the Software is subject to XTC Mobile's applicable Privacy Policy.
The Privacy Policy describes the collection, use, disclosure, retention, and protection of personal information.
Where third-party integrations are used, the privacy practices of those providers may also apply.
17. Changes to This Agreement
XTC Mobile may update this Agreement to reflect changes in the Software, legal requirements, or business operations.
Material changes will be communicated where required by applicable law or contract.
The updated Agreement will identify its effective date.
18. Governing Law
Subject to applicable mandatory consumer-protection and other legal requirements, this Agreement is governed by the laws of the Province of Ontario and the applicable federal laws of Canada.
